It is not. A confirmation statement is due whether or not the company has traded.

Confusing it with annual accounts

They are two different filings with two different deadlines. Doing one does not cover the other.

Not updating changed details

The statement confirms the record is correct. Confirming details you know have changed is not the point of it.

A confirmation statement is separate from annual accounts and from any HMRC filing. Filing it does not satisfy your accounts or Corporation Tax obligations. Companies House maintains the register and decides on all submissions.

What is a confirmation statement?

It is the annual filing that confirms your company’s details on the public register are still correct — directors, shareholders, people with significant control, registered office, share capital and SIC codes.

Is it the same as annual accounts?

No. They are separate filings with separate deadlines. A confirmation statement confirms your company details; accounts report your financial position. Both are required.

Does a dormant company still have to file one?

Yes. The obligation applies whether or not the company has traded. Dormancy affects your accounts, not your confirmation statement.

What happens if I do not file it?

Companies House can begin the process of striking the company off the register, and directors can face further consequences. It is one of the more serious filings to neglect.

Is the Companies House fee included?

No. Our fee is £99 and the Companies House filing fee is charged separately at the rate they set.

Can I change company details at the same time?

Some changes are recorded through the statement itself, such as shareholder and SIC code updates. Others — a name change, a director appointment — are separate filings, and we offer those as separate services.
