Choosing the Right State to Form Your LLC

Wyoming and Delaware get recommended a lot online. Whether they're actually right for you depends on where you do business.

The default answer: your home state

If you live in and operate your business from a specific state, forming there is usually the simplest and cheapest option. Forming in a different state ("foreign qualifying") while operating from home usually means paying formation and annual fees in two states instead of one.

When forming out-of-state makes sense

If you don't live in the U.S. and are forming a U.S. LLC purely to do business online or internationally, there's no "home state" requirement to satisfy — so the decision comes down to cost and privacy. Wyoming has no state income tax, low annual fees, and strong privacy protections. Delaware is popular with companies planning to raise venture capital, largely because of its well-established business court system.

What actually matters when deciding

Annual renewal cost — it varies dramatically by state, from no fee at all to several hundred dollars a year.

Privacy — some states don't require member names to be listed in public filings.

Where your customers and operations actually are — if you have a physical presence (an office, employees, inventory) in a state, you'll likely need to register there regardless of where you formed.
