Why compliance doesn't stop at formation
Filing your Articles of Organization creates your LLC — it doesn't keep it alive. Most states require an ongoing filing (often called an annual report, biennial statement, or franchise tax) to keep your business in "good standing." Miss it, and the state can administratively dissolve your LLC without warning.
What to track every year
Annual or biennial report — check your specific state's requirement and due date; some states like Ohio and Missouri don't require one at all, while others like California require an annual fee regardless of income.
Registered agent renewal — if you're using a registered agent service, confirm the subscription is active before it lapses.
Business licenses and permits — local or industry-specific licenses often need separate annual renewal from your state LLC filing.
Federal and state tax filings — even a single-member LLC with no income for the year typically still needs to file, depending on your state and structure.
The easiest way to stay on top of it
Put every deadline on a calendar the moment your LLC is approved, not the week before it's due. Compliance deadlines don't send friendly reminders — the first notice you get is often a late fee.
