Read This Before You File

What Every U.K. Company Owner Must Know

None of this is difficult, but it is where founders get caught out — usually because nobody mentioned it at the point of sale.

A U.K. company files whether or not it trades

Incorporation creates permanent obligations. A company that never opened a bank account, never invoiced and never traded still owes Companies House a confirmation statement and annual accounts, every year, until it is formally closed.

If you no longer need the company, close it deliberately through dissolution rather than walking away. Deadline reminders are included with every package so nothing arrives as a surprise.

Your home address is public unless you act

Directors appear on the public register with an address for correspondence. Without a separate service address, that is your home — and it stays searchable. A director service address is the accepted way to prevent it.

The £100 fee is the government’s, not ours

Companies House charges £100 to incorporate. It is added to every package, and we show it beside every price rather than at checkout. Be wary of any provider whose headline price seems to include it.

Two filings, two different bodies

Companies House wants your confirmation statement and accounts. HMRC wants your Corporation Tax return. Satisfying one does not satisfy the other, and they run on different cycles.

A U.K. company is not a visa

Owning or directing a U.K. company gives you no right to live, work or enter the United Kingdom. Immigration is a separate matter for a qualified immigration adviser — we do not advise on it.

Corporation Tax Return

Filed with HMRC on its own cycle, separately from anything Companies House wants. Rates are set by HMRC and change.

Address Renewals

Your address services run 12 months from formation and then renew — £55, £110 or £220 a year depending on your package.

VAT returns once registered, and PAYE submissions once you employ anyone — including yourself as a salaried director.

Can a non-resident form a U.K. company?

Yes. There is no residency, citizenship or visa requirement to own or direct a U.K. limited company, and directors can live anywhere. All three of our packages work for non-residents.

Do I need to visit the United Kingdom?

No. The whole process is handled remotely — you send your details, we review and file with Companies House, and your documents arrive by email. Most of our U.K. clients have never been.

How much does it cost in total?

Our packages are £49, £149 and £324, and the £100 Companies House fee is added to each. So the total today is £149, £249 or £424 depending on which you choose.

Do I need a U.K. resident director?

No. Directors can live anywhere in the world. What you do need is a U.K. registered office address, which is included in all three packages.

Will my home address be public?

Only if you let it be. Directors appear on the public register with a correspondence address, and without a separate service address that is your home. The Privacy and All-Inclusive packages include a director service address.

How long does incorporation take?

Companies House commonly approves digital applications within one to two working days once details are verified, though timing is their decision. Our pre-submission review exists to stop avoidable errors adding days.

Can I open a U.K. business bank account?

You can apply to any of the eight providers we support. We prepare and guide the application from the Privacy package upward, but approval is decided solely by each provider on its own criteria.

What do I have to file each year?

A confirmation statement and annual accounts to Companies House, and a Corporation Tax return to HMRC. These apply whether or not the company traded, and dormant companies file too.

Does a U.K. company give me a visa?

No. Owning or directing a U.K. company confers no right to live, work or enter the United Kingdom. Immigration is entirely separate and belongs with a qualified immigration adviser.
